Group Business Principles

Travis Perkins plc believes that the honesty and integrity of all group colleagues are fundamental to the reputation and success of the group. These principles are enshrined in our Business Values, which underpin the way in which the Company operates. This policy sets out standards and guidelines for the way in which we expect colleagues to work on a day-to-day basis.

At Travis Perkins we:

Know our customers - we understand their needs, beat their expectations, treat them with respect, and know our major customers personally.

Talk and listen - we say what we mean clearly and honestly, we listen carefully; we respond objectively, we explain our decisions.

We will conduct our operations in accordance with accepted principles of good corporate governance, and in ways that conform to our stated Business Values.

The Company will not tolerate or condone any practices which are illegal or which may damage the reputation of the Company, our customers, suppliers or other stakeholders. We believe we should set and live by standards of behaviour that not only achieve minimum legal standards, but which are also sympathetic to the spirit of the laws and customs of the countries in which we operate.

Should colleagues or other stakeholders identify a possible breach of the code set out below, it will be investigated responsibly, independently and in confidence. We will not reprimand anyone in any way for having raised a matter in good faith and the Company will not disclose a person's identity without permission, unless disclosure is unavoidable during an investigation.

Travis Perkins Group's success flows from our commitment to sound business conduct and the way we interact with our key stakeholders (shareholders, colleagues, customers, business partners and suppliers), government, regulators, communities, society, and the environment.

Our Business Principles apply to all Travis Perkins Group companies and colleagues, whether in branch operations or central functions, and we seek to promote the application of these business Principles in our dealings with our contractors and business partners.

Compliance with these Business Principles is essential to our business success. The Travis Perkins Group Board is responsible for ensuring these Business Principles are communicated to, understood by, and observed by all colleagues. Day-to-day responsibility for promoting and implementing these Business Principles is delegated to the senior management of the Company. Compliance with these Business Principles is subject to review by the Board.

The Board expects and requires all colleagues and directors to adhere to these Business Principles as a matter of course. Colleagues and directors are expected to report any suspected, actual or potential breach or conflict with these Business Principles as soon as possible to their line manager or through the Group's confidential and anonymous "Colleague Concern" (whistle blowing) arrangements.

Standard of conduct: We conduct our operations safely and with honesty, integrity and openness, respecting the human rights and interests of our colleagues. We respect the legitimate interests of all those with whom we have relationships, and encourage them to act in similar ways. We conduct ourselves in accordance with the laws and customs of the countries in which we operate. Treating people with abuse; dishonesty; lying; deliberately misleading others; discrimination of any form.
Community involvement: We acknowledge the mutual link between the success of our business and the well-being of the communities within which we operate. We take our responsibilities towards these communities very seriously and work to develop constructive relationships with those communities. Any significant activity that fails to take into account the impact on local communities.
Colleagues: We are committed to providing a safe working environment and work practices through which colleagues can develop skills and capabilities, thereby realising their full potential.

We respect the dignity of the individual, and are committed to diversity in the working environment where there is mutual trust and respect and where everyone is accountable for their own actions. We aim to recruit, employ and promote colleagues solely on the basis of ability to fulfil the jobs requirements.

Public policy: We will promote and protect the Company's legitimate business interests. We will co-operate with governments and other organisations, both directly and through bodies such as trade associations, in the development of proposed legislation and other regulations, which may affect the legitimate business interests of the Travis Perkins group. Gifts or donations to political parties and intervention in party political matters are prohibited.
Communication: We will communicate openly with stakeholders within the bounds of commercial confidentiality and regulatory constraints. We will ensure that all announcements are accurate, fair, timely and understandable, taking into account applicable standards and regulations. Biased or preferential communications.
Customers & Business partners We are committed to providing high quality, good value services which meet all applicable safety standards. We value the trust our customers place in us and will safeguard the information provided to us in accordance with relevant laws and contractual commitments.

We are committed to establishing mutually beneficial relations with our suppliers, customers and business partners. We aim to protect our property (including intellectual property) and respect the property of others.

We expect our business partners to conform with the minimum legal standards of the territory in which they operate relating to the welfare of their employees, and in addition to any higher standards, which we may require.
Indifference (e.g. a "that will do" attitude from our business colleagues); unwarranted distrust; lack of consideration towards others; theft; fraud; dishonesty
Competition: We are committed to operating fairly and to conduct our operations in accordance with the principles and laws of fair competition. We will not enter into illegal anti- competitive arrangements (e.g. price fixing) with our competitors, suppliers, or customers.
Business integrity & Conflicts of interests: We will not offer, give, seek or receive, directly or indirectly, bribes, inappropriate inducements or other improper advantages for business or financial gain. No employee may offer, give, seek or receive any gift, or offer, give, seek or receive any hospitality or payment, which is, or may reasonably be construed as being a bribe.In order to protect colleagues from inappropriate pressures, no gifts valued at over £50 may be received without approval from a plc board director; all hospitality received by colleagues over a nominal value of £200 will be recorded and disclosed. The provision or receipt of gifts or hospitality will be conducted in accordance with our Corporate Entertainment policy.

All colleagues must avoid personal activities and financial interests that could conflict, or be perceived to conflict, with their responsibilities to the Company unless explicitly approved by the Board. Travis Perkins Group colleagues must not seek gain for themselves or others through misuse of their positions. Any circumstances that could give rise to a potential conflict of interest must be disclosed in full to the Company and recorded as soon as possible after the potential or actual conflict of interest is identified.
